    From a technical perspective, ENG spiked sharply higher here back above its 50-day moving average of $1.50 with above-average volume. This move pushed shares of ENG into breakout territory, since the stock took out some near-term overhead resistance at $1.59. Shares of ENG are now starting to move within range of triggering another near-term breakout trade. That trade will hit if ENG manages to take out some near-term overhead resistance levels at $1.66 to $1.71 with high volume.


    Traders should now look for long-biased trades in ENG as long as it’s trending above Thursday’s low of $1.48 or above more support at $1.40 and then once it sustains a move or close above those breakout levels with volume that hits near or above 59,090 shares. If that breakout hits soon, then ENG will set up to re-test or possibly take out its 52-week high at $1.88. Any high-volume move above that level will then give ENG a chance to tag $2 to $2.20.

This is a large well established REIT that is valued in the market with one of the lowest multiples of FFO in the industry. The reason the company trades at a multiple roughly half its competitors, in my opinion, is the poorly aligned management incentive structure. The management of CommonWealth is contracted to an external management firm, Reit Management Research (RMR). Many of the trustees of CommonWeath are owners of RMR and serve on both boards. RMR is primarily compensated by growing CWH’s assets which are under RMR’s management, not on stock price, FFO, or anything else that is closely aligned to generating shareholder returns. This has the perverse effect of motivating them to issue lots of equity and buy lots of buildings irrespective of the value add to CommonWealth shareholders. Neither the management company nor its employees have a significant amount of their income based on the performance of CommonWealth’s stock price. This has resulted in an activist, Corvex Capital, buying a significant position in the company and taking action to replace the board and the management team. The proxy advisory firm, ISS, has sided with the activist and recommended that shareholders vote out the current trustees. ISS notes, “Between 2007-2012 …while the CommonWealth management team increased assets by 198% of period-ending market cap – driving a significant increase in fees payable to management – Commonwealth’s share price – the measure of value appreciation for shareholders – fell by 68%.” This is the poster child of misaligned management incentives.

This is a short article outlining why they are an interesting company to put on the buy list. It needs to be said, this is not a chain that can roll out their concept or brand nationwide and enjoy terrific growth of their franchise. They chose not to build up brands and instead operate under trade names that suit the unique locations they prefer. The reason that I want to highlight this small company is that in recent years they have faced numerous challenges and adversity (aside from those posed by the general economy) and it’s possible they have dealt with the majority, and free cash flow will enjoy a significant uptick in the next two years.

However, the stocks are illiquid and their free cash flow relative to the dollar value of freely traded shares is not high. As a result, I’m always in favor of RSKIA and ARKR buying back stock. But, I understand it’s very hard for them to do in practice unless there is a meaningful holder who signals he wants out of the stock. 

    My approach to buybacks is pretty simple. One, I prefer them. Two, I look at the share count history over the last 10 to 20 years as my guide to what the company might do in the future – I want a pattern of predictable behavior. Generally, that means a continuously shrinking share count that shrinks in bull markets and bear markets, panics and recessions and booms and busts and so on. Three, if I’m a buyer of the stock – then the company should be a buyer of its own stock. No questions asked on that one. If the stock is good enough for me to buy it’s clearly good enough for the company to buy. Finally, I look for the return on buyback. I tend to focus on the earning power the company is buying relative to the net cash it is spending. If a company has cash on its balance sheet, the amount of net cash consumed by a buyback will be less than it appears because I will end up with a greater percentage ownership of the resulting balance sheet as well as the income statement.

    I want the return on buyback to always be at least 10%. As a rule, the average company will only get returns on its buybacks of 10% or higher if it pays less than 15 times normal earnings. In special cases – fast growing companies, companies where free cash flow vastly exceeds reported income, etc. – it is possible that buybacks above 15 times earnings will return more than 10%. It almost never makes sense for a company to buy back stock at over 25 times earnings. So, for most companies, under 15 times earnings is the green zone for buybacks – 15 to 25 times earnings is

    One under-$10 technology player that’s quickly moving within range of triggering a major breakout trade is ParkerVision (PRKR), which designs, develops and markets its proprietary radio frequency technologies and products for use in semiconductor circuits for wireless communication products. This stock has been red hot so far in 2013, with shares up sharply by 105%.

    If you take a look at the chart for ParkerVision, you’ll notice that this stock has been uptrending strong for the last month, with shares soaring higher from its low of $2.38 to its recent high of $4.29 a share. During that uptrend, shares of PRKR have been consistently making higher lows and higher highs, which is bullish technical price action. That move has now pushed share of PRKR back above both its 50-day and 200-day moving averages. Shares of PRKR have now moved within range of triggering a major breakout trade.

    Traders should now look for long-biased trades in PRKR if it manages to break out above some near-term overhead resistance at $4.29 a share with high volume. Look for a sustained move or close above that level with volume that hits near or above its three-month average volume of 2.51 million shares. If that breakout triggers soon, then PRKR will set up to re-fill some of its previous gap down zone from late October that started at $7.50 a share. Some possible upside targets if PRKR gets into that gap down zone with volume are $5 to $6 a share.

    Traders can look to buy PRKR off any weakness to anticipate that breakout and simply use a stop that sits right below its 200-day moving average of $3.90 a share, or near its 50-day moving average of $3.56 a share. One can also buy PRKR off strength once it takes out $4.29 a share with volume and then simply use a stop that sits a comfortable percentage from your entry point.

The euphoria – the certainty – that drove ParkerVision, Inc. (NASDAQ:PRKR)  shares from a price of $2.46 to a high of $7.78 in just seven trading days, only to see it all come crashing down on the 8th day. PRKR plunged to a close of $2.90 on the 8th day (yesterday) when the gamble didn’t pan out for speculators who were sure it would.
