Dell (NASDAQ: DELL  ) founder Michael Dell, with help from private-equity firm Silver Lake Partners, hopes to take his company private by paying $13.65 in cash for each share of Dell stock. However, Carl Icahn’s Icahn Enterprises (NASDAQ: IEP  ) fund recently joined with Southeastern Asset Management (the largest shareholder aside from Michael Dell himself) to offer a rival buyout proposal.

The Icahn-Southeastern proposal entails using much of Dell’s cash and adding some debt to pay a $12 special dividend to Dell shareholders. (This type of financial maneuver is called a leveraged recapitalization.) However, the proposal is particularly interesting because it gives shareholders the option of receiving the $12 in cash, or in additional Dell stock valued at $1.65 per share.

    M&T Bank (MTB) announced its fourth quarter and full year earnings before the bell on Friday, with quarterly GAAP earnings falling from last year’s Q4 while full year earnings rose 11%.

    MTB Earnings in Brief

    M&T Bank reported quarterly net income of $245.72 million, which was down from last year’s Q4 net income of $296.19 million. The company’s diluted EPS came in at $1.79 for the quarter, down from the $2.23 per diluted common share reported in last year’s Q4 results. MTB missed analysts’ estimates of $1.92 EPS. For the full year, MTB reported EPS of $8.38, marking an 11% increase from last year’s EPS of $7.54

    CFO Commentary

    Rene F. Jones, CFO and executive VP, had the following comments about the company’s earnings: “While expenses were elevated by investments in our infrastructure during 2013, M&T achieved a net operating return on average tangible common shareholders’ equity of 18.17% for the full year.  Our core capital position strengthened, as the Tier 1 common ratio grew to 9.25% at the 2013 year-end, up 17 basis points from September 30 and 168 basis points higher than at December 31, 2012.  We are also pleased with the continued improvement in credit quality.  M&T’s liquidity and risk profile was enhanced during the year through several actions, including replacing less liquid investment securities with Ginnie Mae securities and the securitization of loans held in the loan portfolio.  During the final two quarters of 2013 we invested heavily in several key areas, including risk management, capital planning and stress testing, regulatory compliance, and other operational and technology initiatives.  Those investments will better position M&T for the future.”

Going Into Hock to Pay Taxes Many years ago, in my first year of self-employment, my accountant calculated my estimated taxes but forgot about the “self-employment tax” — the portion of taxes that cover Medicare and Social Security. As a result, I learned on April 14 (!) that I owed a much bigger tax bill than I expected. At that time there was no option to pay by credit card, and I didn’t want to drain my savings entirely to pay it. I ended up taking out a personal loan from my bank at a low interest rate and paid it off fairly quickly. It worked out OK. The loan, however, did appear on my credit reports. It didn’t create any problems for me, but if you are going to borrow from another source such as credit cards or a personal loan to pay your taxes, keep in mind that debt can affect your credit scores. How much it will hurt (or help) your scores depends on everything else in your credit reports. Keep it in perspective, though. After all, you may find it’s better to owe a credit card issuer than to owe the IRS. Another option is to enter into an installment agreement with the IRS where you pay them monthly until your balance is paid off. In most cases, these payment plans don’t appear on your credit. However, if you owe a large amount, you could wind up with a Notice of Federal Tax Lien filed against you, and that will definitely affect your credit. (More on that later.) Weyerhaeuser and Plum Creek both get a significant amount of their business from the sale of whole logs, manufactured wood, and pulp, making them key suppliers to the increasing demand from different industries. Plum Creek is in a particularly good position, as much of its assets are in the eastern half of the United States, which has been less affected by the beetle.
