Shares of Tesla Motors (TSLA) are falling in after-hours trading after the upstart automaker announced that it would sell more shares.

According to a filing today, Tesla will sell 6.8 million shares and raise some $1.4 billion. The money will be used to “start volume production and deliveries of Model 3 in late 2017 and to accelerate our 500,000 vehicle build plan from 2020 to 2018,” according to the prospectus.
Elon Musk is selling 2.8 million shares, with the proceeds used to pay taxes for options he exercised.
In the Goldman Sachs upgrade of Tesla today, analystPatrick Archambault and team predicted that Tesla would need to raise more capital but limited to about $1 billion:
Using Teslas target for vehicle production of 500k units in 2018, we believe the company would need to invest $7.5bn, requiring $1bn in additional capital. Using publicly available comps from past OEM projects as well as conversations with some leading industry experts in production we break down the companys capital requirements to get to managements delivery goal. This entails the physical capital expenditures required to get the Model 3 off the ground ($3.2bn), other capex needed to support the ongoing Model S/X programs ($1.8bn), and increased net working capital to support the companys delivery goals of 500k units by 2018 ($2.4bn). On our estimates these components add up to a cash use of $7.5bn, which would be partially offset by the companys ABL program ($785mn in remaining availability as of April 2016), as well as increased cash generation if the company meets its delivery targets ($5.7bn). Netting these together we estimate an incremental capital n eed of approx. $1bn.
