The 944 Sears Hometown Stores are primarily independently owned stores, predominantly located in smaller communities and offering appliances, consumer electronics, lawn and garden equipment, and hardware. In addition, these stores offer blade sharpening, key cutting and screen repair, as well as products typically found in local hardware stores, such as fasteners, ele ctrical supplies and plumbing supplies. These stores carry Craftsman brand tools and lawn and garden equipment, DieHard brand batteries and a range of national brands and other home improvement products. Its Home Appliance Showrooms offer home appliances and related services in stores primarily located in strip malls and lifestyle centers of metropolitan areas. Home Appliance Showroom sales are primarily driven by big-ticket cooking, laundry and refrigeration home appliances, as well as, in certain stores, mattresses. As of April 28, 2012, the Sears Outlet segment consisted of 122 Sears Outlet Stores. Rex American Resources Corporation (REX), incorporated in 1984, is a holding company to succeed to the entire ownership of three affiliated corporations, Rex Radio and Television, Inc., Stereo Town, Inc. and Kelly & Cohen Appliances, Inc. As of January 31, 2012, the Company had lease agreements, as landlord, for six owned former retail stores and had 16 vacant former retail properties. The Company also owns one former distribution center that is partially leased, partially occupied by its corporate office personnel and partially vacant. The Company is marketing these vacant properties to lease or sell. As of January 31, 2012, the Company invested in five ethanol production entities, two of which the Company has a majority ownership interest in. These properties include One Earth Energy, LLC, NuGen Energy, LLC, Patriot Renewable Fuels, LLC, Levelland Hockley County Ethanol, LLC, and one group consisting of Big River Resources, LLC-W Burlington, Big River Resources, LLC-Galv a and Big River United Energy, LLC. It operates through two business segments: alternative energy and real estate.

As a result, it no longer has a controlling financial interest in Levelland Hockley.< /p>

Real Estate Operations

As of January 31, 2011, the Company had lease agreements, as landlord, for all or parts of eight owned former retail stores (88,000 square feet leased and 10,000 square feet vacant). It had 22 owned former retail stores (281,000 square feet) that were vacant as of January 31, 2011. The Company is marketing these vacant properties to lease or sell. In addition, one former distribution center is partially leased (266,000 square feet), partially occupied by its corporate office personnel (10,000 square feet) and partially vacant (190,000 square feet). A typical lease agreement has an initial term of five to twenty years with renewal options. Most of its lessees are responsible for a portion of maintenance, taxes and other executory costs.

    Three months ago I wrote that the stock performance YTD of independent ethanol producer Pacific Ethanol (PEIX) was an “aberration”, especially in light of the performance of its industry peers’ shares. The discrepancy between Pacific Ethanol’s share price and those of its peers has only grown more pronounced since July (see figure). Green Plains Renewable Energy (GPRE) and REX American Resources (REX) have continued to greatly outperform the S&P 500. Even Biofuel Energy, which fell behind on its interest and debt payments over the summer and is facing a shareholder-ruining liquidation, has seen its share price perform significantly better than Pacific Ethanol’s in 2013. The oddest part about the stock’s performance over the last three months, however, is that the period has been marked by multiple positive announcements from the company. It late July it reported its first positive EPS in almost two years for Q2 (0.07). Its Q2 EBITDA of $3.8 million was its highest sinc e Q4 2011. Its current ratio is well above its previous lows, its ratio of total assets to total liabilities is increasing, and its total shareholders’ equity is at a 3-year high. Despite these improvements, the company’s price/book ratio is a mere 0.77.

The Company’s pharmacy, health and wellness services include retail, specialty, infusion and respiratory services, mail service, convenient care clinics and worksite health and wellness centers. These services help improve health outcomes and manage costs for payers including employers, managed care organizations, health systems, pharmacy benefit managers and the public sector. The Company’s Take Care Health Systems subsidiary is a manager of worksite health and wellness centers and in-store convenient care clinics, with more than 700 locations throughout the United States.


As of August 31, 2012, Walgreens operated 8,385 locations in 50 states, the District of Columbia, Guam and Puerto Rico. In 2012, the Company opened or acquired 266 locations for a net increase of 175 locations af ter relocations and closings. As of August 31, 2012, the Com! pany had 7,930 of Drugstores, 366 of Worksite Health and Wellness Centers, 76 of Infusion and Respiratory Services Facilities, 11 of Specialty Pharmacies and two of Mail Service Facilities. The Company offers specialty pharmacy services that provide customers nationwide access to a variety of medications, services and programs for managing complex and chronic health conditions. In addition, the Company offers its customers infusion therapy services, including the administration of intravenous (IV) medications for cancer treatments, chronic pain, heart failure, and other infections and disorders which must be treated by IV. Walgreens provides these infusion services at home, at the workplace, in a physician’s office or at a Walgreens alternate treatment site. The Company also provides clinical services, such as laboratory monitoring, medication profile review, nutritional assessments and patient and caregiver education.


Customers can also access the Company’s e-commerce solutions, which extend the convenience to purchase most products available within its drugstores, as well as additional products sold exclusively online through its walgreens.com and drugstore.com Websites, including beauty.com and visiondirect.com. The Company’s Websites allow consumers to purchase general merchandise including beauty, personal care, home medical equipment, contact lenses, vitamins and supplements and other health and wellness solutions. Alliance Boots is a pharmacy-led health and beauty retailing and pharmaceutical wholesaling and distribution business. As of March 31, 2012, its fiscal year end, Alliance Boots had, together with its associates and joint ventures, pharmacy-led health and beauty retail businesses in 11 countries and operated more than 3,330 health and beauty retail stores, of which over 3,200 had a pharmacy. In addition, Alliance Boots had approximately 625 optical practices, approximately 185 of which operated on a franchise basis. Its pharmaceutical wholesale and distribution businesses, including its associates and joint ventures, supplied medicines, other healthcare products and related services to more than 170,000 pharmacies, doctors, health centers and hospitals from over 370 distribution centers in 21 countries.


Alliance Boots’s stores located in the United Kingdom, Norway, the Republic of Ireland, the Netherlands, Thaila nd and Lithuania and through its associates and joint ventures in Switzerland, China, Italy, Russia and Croatia. In addition, as of March 31, 2012, there were 58 Boots stores operated in the Middle East on a franchised basis. Our valuation multiple appears high; we think JC Penney shares should trade at a discount to Macy’s and Dillard’s because: 1) JC Penney is significantly more leveraged (5x in FY16 vs. 1.5x for Macy’s and 0.7x for Dillard’s); 2) its anticipated EBITDA margin is much lower (7.2% vs. nearly 14% and 12% for Macy’s and Dillard’s); and 3) it ow ns significantly less real estate (26% of its stores are owned in fee compared to 55% and 83% for Macy’s and Dillard’s respectively), which may partially explain its lower margin. Furthermore, our FY16 EBITDA estimate assumes JC Penney’s financial performance improves markedly, which may not transpire to the extent we estimate; thus, the significant optionality in the stock price, in our view.
