CNBC’s David Faber reported a short while ago that Perry Capital, a 7% holder, is going to file a 13-D later today asking the company to immediately move to replace Mike Ullman as interim CEO with former CEO Allen Questrom as chair and Ken Hicks, head of FootLocker (FL) as CEO.
Penney shares are down 75 cents, or 6%, at $12.91.
Credit Suisse’s Michael Exstein, reiterating an Underperform rating on the stock, and a $15 price target, writes this morning that the battle is “Just what JC Penney does not need,” as “The very public debate around Mr. Ullman’s tenure will only make it more difficult to attract senior level executives to JC Penney.”

A subsidiary of Westmoreland Coal Company has two coal leases on the property. Coal is produced by surface dragline mining, and the coal is transported by either truck or beltline to the four-unit 2,200-megawatt Colstrip generation station located at the mine mouth and by the Burlington Northern Santa Fe railroad to Minnesota Power. A small amount of coal is transported by truck to other customers.
As of December 31, 2011, BRP had acquired, in several stages, approximately 8.8 million mineral acres in 29 states from International Paper. As of December 31, 2011, BRP held 78 revenue generating leases. BRP’s assets include approximately 300,000 gross acres of oil and gas mineral rights in Louisiana, of which over 72,000 acres were under lease, as of December 31, 2011. In addition, BRP holds a gross product ion royalty interest on approximately 23,000 mineral acres under lease in Louisiana. The remaining oil and gas mineral acreage in Louisiana is not leased. That trade will hit if SNCR manages to take out some near-term overhead resistance levels at $36 to its 52-week high at $36.49 with high volume.

CapitalSource (NYSE: CSE ) and PacWest Bancorp (NASDAQ: PACW ) are soon to be one and the same. The two companies have agreed to merge, both announced in a joint press release. CapitalSource investors will receive a cash payout of $2.47 and 0.2837 shares of PacWest common stock for each CapitalSource share they hold. This values the latter’s stock at $11.68 per share, a nearly 19% premium to its most recent closing price. The total transaction value is estimated at roughly $2.3 billion.

It offers services using several pricing options, such as transaction fee, convenience fee, flat fee, or client absorbed fee (fees paid directly by the client, in lieu of those charges being paid by the constituent using the service), which can be billed as a percentage fee, a fixed fee, or some combination of both. It provides services and solutions in several different verticals. Its client base includes the Unites States Internal Revenue Service (IRS), 27 states, the District of Columbia and nearly 4,600 additional clients, consisting of local governments and other pu blic sector clients and approximately 100 private sector cli! ents. As of September 30, 2010, it offered nearly 9,200 payment types.
The Company provides businesses and individuals the opportunity to pay certain federal income and business tax obligations electronically via credit or debit cards. Payment options include all credit cards: American Express, Discover, MasterCard, Visa and all debit cards including some regional automated teller machine (ATM) card networks. Payment channels include Internet, IVR, and agent (a third-party provider who accepts payments on behalf of its client). In fiscal 2010, it provided payment services for 23 types of tax forms for the IRS. Revenues from Federal vertical represented 20.5% of EPS revenues for fiscal year 2010. Its contract with the IRS to provide payment services for federal tax payments contributed 17.1% of EPS revenue for fiscal year 2010.
The Company offers a variety of electronic payment solutions to state and local governments for electronic payments for pe rsonal income taxes and business taxes. For fiscal year 2010, this vertical represented 8.5% of EPS revenue.
Within the Utility vertical, the Company allows its customers and constituents of various companies and municipalities to pay their utility obligations electronically using all credit cards, debit card, e-check, cash or money order. The utility company customers can utilize the Internet, IVR, POS, agent, walk-up locations or kiosks to make these payments. For fiscal year 2010, this vertical represented 15.3% of EPS revenue.
The Company’s solutions within the education vertical service post-secondary education institutions. Solutions it provides to these clients include electronic payment options for tuition and fee payments, housing and alumni donations. During fiscal year 2010, this vertical represented 13.6% of EPS revenue.
Other vertical consists of state and local courts and citations, rent payments and insurance payments for various entities, electronic payment options for meal a! nd fee pa! yments for K-12 educational institutions, plus personal property tax payments. During fiscal year 2010, this vertical represented 14.8% of EPS revenues.
As of September 30, 2010, the Company’s Wind-down operations consisted of its VSA business from its former GBPO segment. In fiscal 2010, it serviced over 100 customers within this business.

The disappointments are starting to mount for investors in OMNOVA Solutions (NYSE: OMN ) , an emulsion polymer and specialty chemicals maker that has missed the Street’s estimates in worsening fashion for three straight quarters. Its first-quarter results, released earlier this month, showed a 9% decline in total revenue from the year-ago period because of lower volumes in Europe and India, and business seasonality. However, optimistic contentions could also be made based on this same earnings report.
