Round-tripping could inflate topline

I understand that discounting is the name of the game. As the $16 billion exit provided to Flipkart’s shareholders shows, discounting to gain market share can lead to some favorable exits. But in the context of this particular business in India, OTAs could be easily gamed in their exercise to gain market share. To understand the game, we need to understand the term – round-tripping.

What is round-tripping?

Imagine that a room in Hotel XYZ is listed on MMT. For the sake of simplicity assume that the price of the room is $100 and MMT offers a 25% discount on its platform. The owner of XYZ could buy off the inventory at $75 and then sell it offline for a price of $100. Even if MMT charges a commission of 30% for the sale, XYZ would end up selling a room at a much higher price. Obviously, this is a very simplistic example. There are more variables on how this could work, such as the percentage of XYZ inventory listed on MMT and the number of offline customers not registered on MMT. It is hard to second-guess these variables. And considering that creating an account on MMT is like taking candy from kids, Hoteliers can easily create a new account without the knowledge of OTAs.

Valeant Pharmaceuticals International Inc. is considering the sale of Egyptian drugmaker Amoun Pharmaceutical Co. as the beleaguered Canadian company seeks to accelerate its debt-reduction plans, according to people with knowledge of the matter.

Amoun may attract pharmaceutical companies with an interest in expanding in emerging markets, the people said, asking not to be identified because the deliberations are private. The Egyptian companys current executives could also pursue a management buyout with help from financial investors, though no final decision has been made, the people said.

Valeant is working with Goldman Sachs Group Inc. on the sale, which is at a preliminary stage, the people said. Valeant agreed to acquire Amouns holding company Mercury Holdings last year for about $800 million, plus some contingent payments. Valeants intentions at the time were to use Amoun as a platform to further expand in the Middle East and Africa.
