As of the end of the first quarter of 2018, 17.3% of Cheniere Holdings’ common shares were publicly held. Cheniere Energy had only non-economic voting control of the firm. Cheniere Holdings’ sole asset was a 48.6% limited-partner interest in Cheniere Energy Partners L.P. (NYSE: CQP), Cheniere Energy’s publicly traded master limited partnership (MLP).

  • [By Tyler Crowe]

Even though the spot price has come down a bit since then, it still gave management enough confidence to increase its guidance for the full fiscal year. Management raised its estimate for full-year adjusted EBITDA to $2.2 billion-$2.5 billion and distributable cash flow from Cheniere Energy Partners (NYSEMKT:CQP) to $0.35 billion-$0.55 billion.

  • [By Paul Ausick]

Cheniere Energy Holdings’ sole asset is an approximate 48.6% limited partner interest in Cheniere Energy Partners LP (NYSEAMERICAN: CQP).

Cheniere Partners is constructing and operating natural gas liquefaction facilities at the Sabine Pass LNG terminal in the Gulf of Mexico. The company plans to construct up to six natural gas liquefaction trains, which are in various stages of development, construction and operations. Trains 1 through 4 are operational, Train 5 is under construction and Train 6 is being commercialized and has all necessary regulatory approvals in place.

  • [By Tyler Crowe]

The one thing that was a little discouraging was that the downtime took a little longer than expected. The one positive note here is that it happened at a slower time of the year for gas demand. Despite the lower results for the quarter, management was confident enough to raise the low end of its guidance for distributable cash flow from subsidiary Cheniere Energy Partners (NYSEMKT:CQP) from $0.35 billion to $0.4 billion.

Nordstrom (NYSE:JWN) never expanded as much as its lower-price competitors, and since all of its stores are profitable, it hasn’t felt the need to shrink dramatically. Nevertheless, it is closing stores here and there. Given that the Nordstrom store base is heavily skewed toward the best malls in North America, even a relatively small number of store closures and asset sales could provide a meaningful windfall for the company and its investors.

What general principles govern small business valuation?

The fair market value of any interest in an “unmarketable business,” whether it is structured as a partnership, corporation, limited liability company, or a proprietorship, is the amount that a willing buyer, whether an individual or a corporation, would pay for the interest to a willing seller, neither being under any compulsion to buy or to sell and both having reasonable knowledge of the relevant facts. The net value is determined on the basis of all relevant factors, including the following:

How does the existence of a buy-sell agreement impact small business valuation?

A first-offer agreement, under which survivors have no enforceable right to purchase the business interest and can purchase the interest only if the executor wishes to sell, does not fix the value of the interest for estate tax purposes.

So, each of the aforementioned companies operate with a practically non-existent market share, compared to Intels shipments of course. This also means that these firms (AMD, Qualcomm etc.) have plenty of room to grow. This would be subject to good product releases of course, but at least this way, the law of large numbers isnt working against them.
