Our ETF to watch for today is the State Street SPDR S&P Retail ETF , which will look to overcome a key resistance level as investors digest the latest consumer sentiment data. Analysts are expecting for July’s consumer confidence figure to come in at 81.1, marking a slight deterioration from last month’s reading of 81.4.

Commercial digital image library Shutterstock (NYSE: SSTK ) looked picture-perfect today with an 18.9% gain after the company announced better-than-expected fourth-quarter results, and an optimistic full-year forecast after the closing bell last night. For the fourth quarter, Shutterstock delivered revenue growth of 38%, to $68 million, as the number of paid downloads increased 31%, to 28 million, and the number of images in its collection vaulted higher by 8.9 million, to 32.2 million. Net income, however, fell by roughly three-quarters, to just $7.9 million, or $0.26 per share in adjusted EPS. Comparatively, Wall Street had only expected Shutterstock to report a $0.21 EPS profit on $65.8 million in revenue. Looking ahead, Shutterstock anticipates full-year revenue will be in the range of $305 million-$310 million, which is modestly higher than the current consensus of $304.5 million. There’s little denying that Shutterstock is gaining online acclaim, but at 70 times forward earnings, I’d consider passing on the stock here.

In January, Nice Systems (NICE) had announced that it is in discussion with Verint Systems (VRNT) for possible acquisition. This acquisition will cost Nice Systems $1.5 billion. After this acquisition, the combined sales of both companies is expected to be around $1.5 billion annually, and it will control 70% of the voice recording market, and 50% of the video recording market. This acquisition shouldn’t face any hurdles as Verint System recently purchased the controlling stake of its holding company, Comverse Technologies, thus becoming an independent company. This deal will make it simpler for Nice System to acquire Verint Systems.

Hilltop Holdings Inc.(HTH) offered to buy the rest of SWS Group Inc.(SWS) that it doesn’t already own, valuing the financial-services company at about $231 million. Hilltop, a regional banking and insurance company, offered $7 a share, a 16% premium over Thursday’s close. SWS surged 19% to $7.20 premarket, topping the offer price.

SWS Group (SWS) also catches my eye at the current valuation. The Dallas-based company is in the brokerage, investment banking and banking business in the Southwest. They struggled with losses at the banking subsidiary and eventually had to find a capital infusion. They ended up borrowing $100 million from noted investors Gerald Ford and Robert Bass. The core brokerage and investment banking business are well positioned and should do well over the next few years. I wouldn’t be shocked if this firm was eventually sold off, with Mr. Ford keeping the banking assets and selling the brokerage and I-Bank units to a larger firm. With the stock trading at just 65% of book value, the long-term potential is very high for this stock.

That includes rethinking the use of artificial preservatives and other ingredients customers find objectionable. “This demand for fresh and real is on the rise,” said Greg Creed, CEO of Yum Brands (YUM), which owns Taco Bell, KFC and Pizza Hut. During the presentation for analysts and investors last month, Creed said the company needs to be more transparent about ingredients and use fewer preservatives. Recasting fast-food as “fresh” and “real” will be tricky, in large part because it’s so universally regarded as cheap and greasy. Another problem is that terms like “fresh,” ”real” and “healthy” have nebulous meanings, making it hard for companies to pin down how to approach transformation.
