European markets closed mixed today, while Asian markets closed higher and Latin American markets closed lower.

    One company with seemingly limitless upside potential today was senior housing operator Emeritus (NYSE: ESC  ) , which gained 35.2% after agreeing to be purchased by Brookdale Senior Living (NYSE: BKD  ) for $1.4 billion, excluding debt. Under the terms of the deal, Emeritus shareholders will receive 0.95 shares of Brookdale, and would effectively own 23% of the outstanding shares of the company once the merger is complete. Brookdale anticipates the deal being EPS neutral in 2014, and forecasts it adding $0.40 in EPS by the third year. The move certainly makes sense on paper, as cost synergies will help these two senior housing companies fight back against the expectation of declining Medicare reimbursement rates. However, over the long run, the Medicare reimbursement picture is still very cloudy, making Brookdale a riskier buy at the moment following today’s announcement.

As of December 31, 2011, it held 134,680 net acres in over 300 sections with an average working interest of 96% in wells drilled as of that date. The overall Wolfberry interval, the principal focus of its drilling activities, is an oil play that also includes a liquids-rich natural gas component. Its production/exploration fairway extends approximately 20 miles wide and 80 miles long. While exploration and drilling efforts in the southern half of its acreage block has been centered on the shallower portion of the Wolfberry (Spraberry, Dean and Wolfcamp formations) the emphasis in the northern half has been on the deeper intervals, including the Wolfcamp, Cline Shale, Strawn and Atoka formations.

As of December 31, 2011, the Company had drilled and completed approximately 600 gross vertical wells and had defined the productive limits on its acreage throughout the trend. It has expanded its drilling program to include a horizontal component targeting the Cline and Wolfcamp Shales. The Company has drilled four gros s horizontal Wolfcamp Shale wells as of December 31, 2011. A! s of December 31, 2011, it had drilled a total of 27 gross horizontal wells in the Wolfcamp and Cline formations, of which 23 are in the Cline Shale and four in the Wolfcamp Shale. It had over 5,600 total gross identified drilling locations (both vertical and horizontal) in the Permian, all of which are within the Wolfberry and Cline Shale interval during the year ended December 31, 2011.

Anadarko Granite Wash

As of December 31, 2011, it held 37,850 net acres in Hemphill County, Texas and Roger Mills County, Oklahoma. The Company’s play consists of vertical and horizontal drilling opportunities targeting the liquids-rich Granite Wash formation. As of December 31, 2011, it had drilled and completed over 150 gross vertical wells. During 2011, its horizontal Granite Wash program was in the development phase. As of Decem ber 31, 2011, it had approximately 100 gross identified potential drilling locations for the horizontal Granite Wash, which included both its Texas and Oklahoma acreage.

Other areas

    Who’s doing it the best?
    It can be pretty handy to evaluate the entire industry on how efficiently it’s replacing reserves, but reserve replacement costs can be more effective in evaluating individual companies. The lower the costs, the better it is. According to Ernst & Young, the most effective company at controlling reserve replacement costs is private company Antero Resources, with a three-year average reserve replacement cost of about $2.88 per barrel of oil equivalent. Antero, and four of the other top five companies on Ernst & Young’s list, are almost pure natural gas plays. If we’ve learned one thing over the past couple of years, it’s that oil reserves and natural gas reserves are two totally different things when it comes to value. The five following companies have more than 50% liquids on their reserves and had the lowest reserve replacement costs for 2012.

    Domino’s Pizza’s (NYSE: DPZ  )  earnings were double-stuffed like their crusts, jumping 18% from last year as the chain opens up new ovens internationally. The U.S. market is tight-packed with pizza spots, from your favorite $1-a-slice deal to luxurious brick-oven operations, so the 570-plus new stores abroad are bringing home the bread for Domino’s.   But what about expectations? Analysts have already been pretty hungry and bullish on Domino’s over 2013. Wall Street was already projecting profit growth of 16% for Domino’s and has sent the stock up 63% in the past year.   To show the love, Domino’s isn’t doing a new extra-pepperoni deal, but increasing its dividend by $0.25 per share. The news is a sign that a growing Domino’s is ready to return cash to shareholders as its spreads the dough into new lands.

    Elise Amendola/AP NEW YORK — Netflix has reached a deal with Comcast to ensure that its TV shows and movies are streamed smoothly to households, the first deal the online video streaming service has reached with an Internet service provider. The two companies said in a joint statement Sunday they’re establishing a more direct connection to provide a better service to customers that will also allow for future growth in Netflix traffic. The companies say the arrangement is already giving customers a better experience. Netflix (NFLX) had 33 million U.S. streaming subscribers at the start of the year and accounts for about one third of all traffic at peak times on the Internet, according to research firm Sandvine. As the video steaming company has grown, Internet service providers like Comcast (CMCSA) (CMCSK) have pushed the company for more structured deals to enable its content to be transmitted smoothly and reduce the strain on their networks. While the companies didn’t disclose the terms of the deal, Netflix investors will want to know how much this deal will affect the company’s bottom line and whether the costs will be passed on customers. Netflix has been resisting paying fees to Internet companies and this deal could open the door to similar agreements with other providers. Netflix is already experimenting with different rate plans that charge slightly more for households that want to stream its shows and movies on four different screens simultaneously. The deal comes after months of collaboration with Comcast though Netflix will receive no preferential network treatment under the multiyear deal, the statement said. Comcast was ranked as the 14th fastest Internet service provider in January, according to a table on Netflix’s website.     He also pointed out that the approaching completion of Roma Financial (ROMA) and Investors Bancorp (ISBC) has some interesting implications for bank stock investors. Both are mutual holding companies, and the newly formed bank is expected to complete the process and do a second-step conversion offering. That will be a fairly large deal, much larger than most second-step offerings, as the combined banks should be somewhere around $3 billion in market cap. There will be larger investment banks involved, complete with road shows and institutional meetings to promote the deal. The attention could well cause a revaluation of the mutual holding company and converted thrift sector of the banking market.

    Steven Senne/AP BOSTON — Companies that help Target process payments could face millions of dollars in fines and costs resulting from the unprecedented data breach that struck the retailer during the holiday shopping season. Investigators are still sorting through just how thieves compromised about 40 million payment cards and the information of about 70 million Target (TGT) customers. But people who have reviewed past data breaches believe Target’s partners could face consumer lawsuits and fines that payment networks such as Visa (V) and MasterCard (MA) often levy after cybersecurity incidents. Target’s partners “have deep pockets and are intimately involved in certain aspects of how Target gets paid,” said Jamie Pole, a cybersecurity consultant in Asheboro, N.C., who works for government agencies and the financial industry. Fines and settlement costs could reach into the millions of dollars for individual companies, he said, though much will depend on how the ultimate liability for the breach is determined. Boston attorney Cynthia Larose of Mintz Levin said Target would likely seek to add its partners as defendants to lawsuits already filed over the breach. “These class-action lawsuits start to bring everyone in at some point,” she said. After its systems were penetrated by hackers in the mid-2000s, retailer TJX Cos. (TJX) agreed to pay up to $40.9 million to cover fraud costs in a settlement with Visa. Visa also issued penalties of $880,000 against Fifth Third Bancorp (FITB) of Ohio, which processed transactions for TJX.     Genesco (NYSE: GCO  ) results for the company’s fiscal Q1 2014 have been released. For the quarter, net sales came in at $591 million, a drop of 1.5% from the $600 million in the same period the previous year. Net profit also saw a slip, to $18.4 million ($0.77 per diluted share) from Q1 2013’s figure of $20.6 million ($0.85). On an adjusted basis, those numbers were $22.2 million ($0.94 per diluted share) and $23.8 ($0.98), respectively.

GT Advanced Technologies Inc., incorporated on September 27, 2006, is diversified technology company with crystal growth equipment and solutions for the global solar, light emitting diode (LED) and electronics industries. The Company operates in three segments: its polysilicon business, its photovoltaic (PV), business and its sapphire business. The Company’s principal products are Silicon Deposition Reactors (SDR) and related equipment used to produce polysilicon, the key raw material used in silicon-based solar wafers and cells; Advanced sapphire crystallization furnaces (ASF) which are used to crystallize sapphire boules, and Directional solidification (DSS) furnaces and related equipment used to cast multicrystalline and MonoCast crystalline silicon ingots. On November 8, 2012, the Company acquired certain assets of Twin Creeks Technologies, Inc. (Twin C reeks). In May 2013, the Company acquired the business of Thermal Technology LLC.

PV Business

The focus of the Company’s PV business is the development, manufacture and sales of crystallization growth furnaces to produce silicon ingots used in the production of solar wafers. The Company’s principal product line has been the DSS family of casting furnaces that are used to produce multicrystalline ingots and MonoCast ingots. As of December 31, 2012, the Company shipped approximately 3,300 DSS crystallization furnaces. The ingots are used to make photovoltaic (PV) solar wafers and cells. HiCz, or continuous Czochralski (Cz) growth process, produces monocrystalline ingots that are designed to produce more efficient wafers. The Company’s DSS furnace is a specialized furnace used to melt polysilicon and cast multicrystalline ingots. Multicrystalline ingots are used to produce solar wafers, which ultimately become solar cells. The Company markets its DS S crystallization furnaces under the names DSS450HP and DSS6! 50. The Company’s largest capacity DSS furnace, the DSS650, is capable of producing ingots that weigh up to 650 kilograms using standard silicon feedstock. In January 2012, the Company introduced its MonoCast silicon casting technology that uses the DSS furnace architecture to produce ingots comprised of a high percentage of monocrystalline material. The Company is markets MonoCast technology under the name DSS450 MonoCast.

The Company’s ancillary equipment provides operators with material handling assistance during the preparation of the crucible before it is loaded with silicon and during the loading and unloading of the crucible into the DSS furnace chamber at the start of the growth process and out of the DSS furnace chamber at the conclusion of the ingot growth process. The Company’s ancillary equipment includes crucible coating stations, crucible manipulators, loaders/unloaders, extraction tools and other material handling systems required to safely tra nsport material during the ingot growth process. The Company sells replacement parts and consumables used in its DSS furnaces and other PV equipment.

Polysilicon Business

The Company’s polysilicon business offers Silicon Deposition Reactors, which utilize the chemical vapor deposition process, and related trichlorosilane (TCS) technology and equipment along with engineering services to existing polysilicon producers and new market entrants. The Company’s polysilicon business focuses on product design, quality control, engineering services, project management and process development related to the production of polysilicon. It markets its SDR reactors under the names SDR300, SDR400, SDR 500 and SDR 600. The Company provides equipment, technology and engineering services for the production and purification of TCSand silane. This hydrochlorination technology eliminates the need for silicon tetrachloride converters which are required when using certain other polysilicon production technology. The Company also pr! ovides an! cillary equipment and technologies for producing seed rods used in its SDR reactors and for handling and processing the polysilicon rods into a finished product.

Sapphire Business

The Company’s sapphire business markets and sells of the Company’s ASF systems to customers to enable them to produce sapphire material. The Company also produces sapphire material, on a limited basis, for the LED and other specialty markets at its sapphire pilot production facility in Massachusetts. Its ASF systems produce monocrystalline sapphire material, referred to as sapphire boules. The sapphire boules are used to make sapphire wafers, a substrate for manufacturing LEDs, as well as sapphire blanks and windows for such applications as medical devices and watch crystals. The Company’s ASF technology is based on the heat exchanger method (HEM), which is a directional solidification technique, which crystallizes the sapphire meltstock material during the growth process. The Company also uses the facility as a research and development (R&D) center to test new technology developments prior to commercial release. The Company markets and sells its ASF systems under the name ASF100. The Company also provides engineering and product design, quality control, process engineering, engineering services and field services related to the operation of its ASF furnaces. The Company produces sapphire material on a limited basis at its pilot production facility in Massachusetts. The Company sells this material to customers in the LED and other markets, such as the aerospace, defenses and medical device.

The Company manufactures and sells two principal types of sapphire materials: hems Sapphire Material and Titanium-doped Sapphire (Ti:Sapphire) Material. Using the material derives from the sapphire boule generated with its ASF furnaces, the Company cut the sapphire material in a number of different dimensions and crystal orientations, in form factors such as cores, rods, blanks, windows and tubes. The! Company ! generates sapphire boules that are doped with titanium. The Company provides certain finishing and polishing for its Ti:Sapphire material.

Shares closed at $9.03 last night, in a 52-week range of $2.61 to $10.75. The stock’s consensus target price is $11.75, which yields a potential upside of around 30%. The snag may be its forward multiple, a whopping 93.2. The stock’s expected 2014 EPS is a meager $0.10.

    However, shares of Corning Incorporated were slipping in early November after sapphire and polysilicon maker GT Advanced Technologies Inc (NASDAQ: GTAT) announced that it had made a multi-year supply agreement to supply sapphire to Apple who currently uses sapphire materials in the fingerprint sensor on its new iPhone 5S while both LG and Apple also use sapphire for lens covers in their smartphone cameras. The tough and scratch-resistant nature of the material would make it potential choice to cover an entire smartphone or tablet screen – the current sweet spot for Corning Incorporated’s Gorilla Glass. In fact, Andrew Huang of Sterne Agee thinks the announcement  increases the likelihood that Apple will replace Gorilla Glass with sapphire, a negative for Corning Incorporated. But it should also be noted that does not break out precise revenue figures for Gorilla Glass.
