SandRidge Permian Trust (the Trust) is a trust formed by SandRidge Energy, Inc. (SandRidge) to own royalty interests in 509 developed oil and natural gas wells located in Andrews County, Texas (the Producing Wells), and 888 oil and natural gas development wells to be drilled (the Development Wells) within an Area of Mutual Interest (AMI). The AMI consists of the Grayburg/San Andres formation in the Permian Basin in Andrews County, Texas. As of December 31, 2010, SandRidge held approximately 16,700 gross acres (15,900 net acres) in the AMI.The Underlying Properties consist of the working interest owned by SandRidge in the Permian Basin in Andrews County, Texas arising under leases and farmout agreements related to properties from which the PDP Royalty Interest and the Development Royalty Interest will be conveyed.


The royalty interest in the Producing Wells (PDP Royalty Interest) entitles the trust to receive 80% of the proceeds from the sale of production of o il, natural gas and natural gas liquids attributable to SandRidge’s net revenue interest in the Producing Wells. The royalty interest in the Development Wells the (Development Royalty Interest) entitles the trust to receive 70% of the proceeds from the sale of oil, natural gas and natural gas liquids production attributable to SandRidge’s net revenue interest in the Development Wells. As of March 31, 2011, after giving effect to the conveyance of the PDP Royalty Interest and the Development Royalty Interest to the trus, the total reserves estimated to be attributable to the trust were 21.8 million barrels of oil equivalent (MMBoe). This amount includes 5.8 MMBoe attributable to the PDP Royalty Interest and 16.0 MMBoe attributable to the Development Royalty Interest. The reserves consist of 96% liquids (87% oil and 9% natural gas liquids) and 4% natural gas.


SandRidge is an independent oil and natural gas company concentrating on development and production activi ties related to the exploitation of its significant holdings! in West Texas and the Mid-Continent area of Oklahoma and Kansas. SandRidge operates all of the Producing Wells. Permian Basin

The Permian Basin extends throughout southwest Texas and southeast New Mexico over an area approximately 250 miles wide and 300 miles long. It is an oil producing basin in the United States. As of December 31, 2010, SandRidge operated approximately 2,600 gross producing wells in the Permian Basin, with an average working interest of 94%. In March 2011, SandRidge’s average daily net production in the Permian Basin was approximately 29,600 Boe/d. SandRidge was operating 16 rigs in the basin as of March 31, 2011. SandRidge drilled 484 wells in this area during the year ended December 31, 2010.


Fuhrman-Mascho Field

The Fuhrman-Mascho field is located near the center of the Central Basin Platform in the Permian Basin. The field produces from the Grayburg/San Andres formation from average depths of approximately 4,000 to 5,000 feet. The Fuhrma n-Mascho field is a producing field in the Permian Basin and! it has p! roduced approximately 142 MMBoe as of December 31, 2010. During 2010, SandRidge operated eight drilling rigs in the area and has drilled 307 wells as of March 31, 2011.

SandRidge Mississippian Trust I (The Trust) is a statutory trust. The Trust was created to acquire and hold the Royalty Interests for the benefit of Trust unitholders. SandRidge conveyed to the Trust the Royalty Interests in specified oil and natural gas properties in the Mississippian formation in Alfalfa, Garfield, Grant, Major and Woods counties in Oklahoma (the Underlying Properties). These Royalty Interests were derived from SandRidge’s interests in a 36 wells and the equivalent of 123 horizontal development wells to be drilled in the Mississippian formation (Trust Development Wells) within an area of mutual interest (AMI), consisting of approximately 49,600 gross acres (42,000 net acres) in the counties where the Underlying Properties are located.


Effective January 1, 2011, the Royalty Interests entitle the Trust to receive 90% of the proceeds from the sale of oil and natural gas production attributable to its net revenue interest in the Initial Wells and 50% of the proceeds from the sale of oil and natural gas production attributable to SandRidge’s net revenue interest in the Trust Development Wells. As of December 31, 2011, the Trust’s properties consisted of Royalty Interests in the Initial Wells, 48 wells (equivalent to approximately 53 Trust Development Wells under the development agreement) and the equivalent of approximately 70 Trust Development Wells to be drilled in the Mississippian formation.

    SandRidge has made a huge bet on the Mississippian Lime shale play, especially after selling off its Permian Basin assets late last year. Unfortunately, that bet hasn’t paid off well for shareholders, as the company saw its spun-off royalty trusts SandRidge Mississippian Trust I (NYSE: SDT  ) and SandRidge Mississippian Trust II (NYSE: SDR  ) fail to meet their projections for distribution amounts during the first quarter. The main problem has been that wells in the Mississippian Lime have produced more natural gas than expected, and even with a slight rebound in gas prices, it still doesn’t produce adequate margins compared to oil and natural-gas liquids.

However, LINN’s gas wasn’t up to the system’s standards, so it began to look for another gatherer and it approached Equitrans, which is now part of EQT Midstream Partners (NYSE: EQM  ) but formerly was a unit of EQT Corp. (NYSE: EQT  ) — they talked, but nothing was signed. However, an EQT employee later that year thought that it had and began crediting gas to the wrong company.

    Goldman Sachs analysts started coverage on EQT Midstream Partners LP (EQM) early on Monday, giving the oil and natural gas distribution company a bullish rating due to its low-risk cash flows.

    The analysts rate EQM as “Buy” and see shares reaching $59. This price target suggests a 22% upside to the stock’s Friday closing price of $48.28.

    Goldman Sachs analyst Theodore Durbin said, “EQM’s FERCregulated pipeline and storage assets offer stable, low-risk fee-based cash flows supported by firm long-term contracts. A robust production outlook in the Marcellus and meaningful inventory of dropdown assets at the parent enhances distribution growth visibility. EQM has a low cost of capital, no debt outstanding, high liquidity and an aligned sponsor that should bolster the partnership’s multi-year double-digit distribution growth outlook.”


    EQT Midstream Partners shares were inactive during pre-market trading on Monday. The stock is up 54.99% year-to-date.
