InterActiveCorp (IACI) bought Ask.com for $1.85 billion in 2005. The new Perion will be worth only about 40% of that. After the merger, Perion will leapfrog its much larger rivals: Babylon and AVG (AVG). Finally, Perion should be able to increase its operating margins as it can spread its SG&A costs over a much larger base (Conduit EBITDA margin is 32% vs. Perion’s 23%). Perion will keep its senior management team intact: Josef Mandelbaum will remain its CEO and Yacov Kaufman its CFO. Perion has successfully orchestrated a roll-up acquisitions of privately-held Sweetpacks and Smilebox, so I have high confidence that they know how to integrate a new business.

That could be particularly true for these three dividend-paying health-care companies: GlaxoSmithKline (NYSE: GSK  ) , Merck (NYSE: MRK  ) , and Quest Diagnostics (NYSE: DGX  ) . They not only pay healthy dividend yields that can blunt the pain of a sell-off, but they’re also strong performers during the coming quarter. That suggests investors may not want to sell them, and investors who have been considering them may want to step in and buy them.

When most American investors think of discount airline stocks, they probably think of relatively large capped Southwest Airlines Co (NYSE: LUV) or sort of small cap JetBlue Airways Corporation (NASDAQ: JBLU) rather than small cap Controladora Vuela Co Avcn SA CV (NYSE: VLRS) which owns Volaris – a discount airline serving the Mexican market. However, any investor who has read Benjamin Graham’s Intelligent Investor might want to remember his sage advice about avoiding airline stocks – mainly because airlines were such a new and unproven sector that had yet to make money. But could Controladora Vuela Co Avcn SA CV actually be an airline stock worth owning?

Advisors’ Opinion:

  • [By Robert Rapier]

As far as the best buy post drop — it comes down to risk tolerance. If you believe oil prices are going to remain strong in 2014, and you are aggressively inclined, there are several solid names. One that may not be on a lot of people’s radars is Diamondback Energy (NASDAQ: FANG), a Permian Basin-focused producer which IPO’d in October of 2012 and has gained 140 percent year-to-date. It was off recently 20 percent from its highs of early November, but has once again been moving up over the past few sessions. If the stock experiences a sharp correction as a result of broader market weakness, this is one that aggressive investors should consider.

While it’s tragic that it took a string of tragedies to make school safety and security a priority in the United States, it can’t be denied that the topic has been put front and center – school systems everywhere are asking themselves tough questions, mainly focusing on what can be done quickly and cost-effectively to secure school buildings. Part of that discussion has put companies like OSI Systems, Inc. (NASDAQ:OSIS), American Science & Engineering, Inc. (NASDAQ:ASEI), and View Systems Inc. (OTCBB:VSYM) in the limelight. The three organizations all make security screening and weapons detection systems. If you’ve flown from anywhere inside the United States anytime since 2003, odds are pretty good you or your luggage passed through equipment made by ASEI or OSIS.

  • [By James E. Brumley]

For tech-savvy investors who know which companies make them, when they hear the words “weapons detection” or “body scanners”, they tend to think of companies like American Science & Engineering, Inc. (NASDAQ:ASEI) and OSI Systems, Inc. (NASDAQ:OSIS). And well they should. OSIS and ASEI are two of the biggest North American providers of the kind of equipment you might see being used by airport security personnel screening passengers before allowing them to their gate. There’s just one challenge in the average school system tapping OSI Systems or American Science & Engineering to help defend their school grounds…. their hardware starts with a six-figure price tag, and rapidly works its way up to higher-capacity and more powerful versions. For a school with multiple doors, it’s simply not feasible. View Systems Inc. is a viable alternative.

After all, the whole security and surveillance industry is pretty vast as it would include everything from airport scanners to security cameras to software securing everyone’s personal or online data. With that in mind, here is a look at the latest news from important small cap security and surveillance stocks:

Two years later, the company spun off its Hometown and Outlet stores by issuing shares of Sears Hometown and Outlet Stores (SHOS) to SHLD stock owners … charging them for the right to receive what they technically already owned.

SEARS HOMETOWN (SHOS) Reached the 3-year Low of $28.84

The prices of SEARS HOMETOWN (SHOS) shares have declined to close to the 3-year low of $28.84, which is 51.3% off the 3-year high of $57.44.

The folks who originally said Eddie Lampert — hedge fund manager, major SHLD shareholder, and now acting Sears CEO — was mostly viewing Sears Holdings as a real estate play have since been vindicated. In addition to the spinoff of Orchard Supply Hardware (OSHWQ) in 2011 and last year’s spinoff of the relatively successful Sears Hometown and Outlet Stores (SHOS), Lampert is now finally getting serious about shedding SHLD department store units. Last year he sold or closed 46 of the company’s 1,300 or so full-line mall stores, vs. letting go of less than 10 in any year since he became a major shareholder back in 2006.
